Terms of Service

These Terms of Service govern access to and use of FrameGrade, a B2B creator-content QA and review service operated by Ricky Shaw. By accessing or using FrameGrade, you agree to these Terms.

If you use FrameGrade on behalf of a company, agency, brand, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "Customer" refer to that organization.

FrameGrade is intended for business use by brands, agencies, creative teams, and other organizations reviewing creator content. You must be legally able to enter into these Terms and use FrameGrade only in compliance with applicable law.

You may not use FrameGrade if you are prohibited from doing so by law or if your use would violate these Terms, third-party provider rules, or applicable platform, advertising, payment, privacy, or intellectual property requirements.

Customers create accounts and workspaces to manage campaigns, team members, creator submissions, review settings, and billing. Team roles may include owner, admin, reviewer, viewer, or similar roles.

You are responsible for keeping credentials secure, maintaining accurate account and workspace information, and managing authorized users, roles, invite links, creator links, campaign settings, and review settings.

You are responsible for all activity under your account, workspace, team members, invite links, and creator portal links, except to the extent caused by FrameGrade.

Creators may submit videos through tokenized creator portal links without creating normal FrameGrade dashboard accounts. Creator portal links are access credentials. You are responsible for sharing them only with intended recipients and revoking or regenerating links when appropriate.

FrameGrade provides portal and processing tools, but does not manage your relationship with creators. Customers are responsible for creator contracts, payment, permissions, releases, campaign instructions, rights to upload and process creator content, and all disputes with creators.

Customers are responsible for obtaining all rights, permissions, and consents needed for creators to upload videos to FrameGrade and for FrameGrade to host, store, process, transcribe, analyze, display, and provide feedback on that content.

Customers retain ownership of content they submit, upload, or collect through FrameGrade, including campaign briefs, instructions, product or reference context, creator submissions, reviewer notes, decisions, and feedback.

You grant FrameGrade a limited license to host, store, copy, process, transcode, extract, analyze, display, transmit, and otherwise use Customer Content as needed to provide, secure, support, maintain, and improve FrameGrade and related services.

This license includes processing uploaded videos, reference videos, extracted audio, sampled frames or images, thumbnails, transcripts, campaign context, reference context, metadata, scores, rubrics, review outputs, creator-facing feedback, routing signals, and decision history.

You represent that you have all rights, permissions, releases, and consents required for Customer Content and for FrameGrade to process Customer Content as described in these Terms and the Privacy Policy.

FrameGrade may provide automated or AI-assisted review outputs, including transcripts, scores, rubrics, summaries, alerts, feedback, reference comparisons, and routing or decision support. Review outputs may be incomplete, inaccurate, delayed, or imperfect.

Customers remain responsible for final approval, revision, rejection, payment, posting, compliance, creator communication, platform, advertising, and business decisions. FrameGrade does not provide legal, compliance, advertising, platform-policy, employment, payment, tax, or creator-contract advice.

You should use human judgment before relying on review outputs for important decisions. FrameGrade does not guarantee that content will satisfy a law, contract, platform rule, advertising standard, brand guideline, or business goal.

You are responsible for all content submitted to FrameGrade and must have all rights, permissions, and consents needed to submit and process it.

You may not upload, submit, or use FrameGrade for illegal content; exploitative content; sexual content involving minors or child exploitation material; non-consensual intimate content; content that violates privacy, publicity, or intellectual property rights; content you do not have rights or permission to submit; malware, phishing, scams, or harmful code; harassment, threats, hateful, abusive, or discriminatory content; sensitive regulated data unless expressly authorized; or content that violates third-party provider policies or creates legal, safety, platform, or operational risk.

You may not attempt to bypass security controls, misuse creator links, access another workspace without permission, interfere with the service, scrape the service, reverse engineer the product except where allowed by law, overload systems, or use FrameGrade to develop a competing service in a way that violates applicable law or these Terms.

FrameGrade may remove content, block uploads, suspend accounts, disable links, refuse processing, limit features, or terminate access where content or activity creates legal, safety, security, provider, payment, platform, or operational risk.

Customers remain responsible for creator videos, copyrighted material, music, likeness rights, releases, claims, disputes, and any use of reviewed content outside FrameGrade.

FrameGrade uses Stripe to process payments. Paid subscriptions renew automatically unless canceled according to the billing flow, Stripe portal, applicable order form, or other written agreement.

Plans may include monthly review credits, purchased credit packs, seat limits, workspace limits, creator limits, campaign limits, feature limits, playback retention settings, and other usage limits. Submissions or reviews may consume credits when processing starts or completes, depending on product behavior.

Credit exhaustion, failed payment, subscription cancellation, downgrade, or plan limits may pause processing, create billing-blocked submissions, restrict access to features, or require an upgrade or credit purchase before processing continues.

You are responsible for taxes, payment details, failed payments, chargebacks, and any fees or amounts due under your plan, checkout, order form, or applicable agreement.

Purchased review credit packs are non-refundable unless required by law or expressly stated in writing by FrameGrade.

Monthly subscription refunds may be available only if the billing period has not been used at all. Once at least one submission or review has been made, or processing has started during a billing period, any refund may be prorated based on usage plus a flat plan or platform fee.

Refunds are at FrameGrade's discretion unless required by law. Credits are subject to the limits, expiration, rollover, and usage rules shown at purchase, in the product, in the applicable plan terms, or in a written customer agreement.

Cancellation stops future renewals but does not automatically refund prior charges. Downgrades, plan changes, or cancellation may affect credits, limits, playback availability, workspace access, and available features.

FrameGrade may change, suspend, or discontinue parts of the service. We do not guarantee uninterrupted or error-free availability.

Features may evolve over time as the product improves, including campaign settings, creator portal behavior, review workflows, media handling, billing behavior, plan limits, playback retention, AI/model behavior, reports, and exports.

FrameGrade may impose or update reasonable limits to protect reliability, security, billing integrity, provider usage, or product quality.

FrameGrade does not intend to retain full video media forever. Raw uploaded media is temporary and may be removed after processing and routine cleanup. Generated playback or video copies are retained according to plan-based playback retention settings and scheduled cleanup.

Reference videos may remain while they are active reference assets for a campaign. Reference videos are deleted when the associated campaign or reference asset is deleted, subject to normal cleanup timing, backups, logs, and legal or business retention needs.

One thumbnail frame may persist for submission or review history. Transcripts, scores, rubrics, review metadata, creator-facing feedback, decision history, billing records, logs, and support records may persist as business, security, billing, or review records unless deleted through available deletion or account processes or unless deletion is required by law.

Deletion may not be immediate and may be subject to scheduled cleanup, backups, logs, provider systems, legal obligations, security needs, billing records, dispute records, and operational retention. Customers are responsible for exporting or preserving content they need outside FrameGrade before deleting data or closing an account.

FrameGrade relies on third-party providers for hosting, authentication, database, storage, payment processing, email delivery, background jobs, media processing, AI/model processing, rate limiting, analytics, logging, and related operations. These providers may include Supabase, Stripe, Resend, Trigger.dev, OpenAI or similar providers, Upstash Redis, Vercel, and Vercel Analytics.

Third-party providers may process data according to their own service terms and data handling policies. FrameGrade is not responsible for third-party services outside its reasonable control.

FrameGrade is provided "as is" and "as available" to the extent allowed by law. FrameGrade disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and any warranties arising from course of dealing or usage of trade.

FrameGrade does not guarantee that review outputs will be accurate, that content will perform, convert, comply with platform rules, satisfy legal or regulatory requirements, meet brand standards, or achieve any business result.

You are responsible for evaluating review outputs, complying with applicable laws and platform rules, and making final business decisions.

To the extent allowed by law, FrameGrade will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.

To the extent allowed by law, FrameGrade's total liability for any claim related to the service will not exceed the amounts paid by you to FrameGrade for the service during the three months before the event giving rise to the claim, or one hundred dollars if you have not paid FrameGrade during that period.

You will defend, indemnify, and hold harmless FrameGrade from claims, damages, liabilities, losses, costs, and expenses arising from your Customer Content, creator relationships, creator payments, permissions, releases, use of review outputs, violation of these Terms, violation of law, or infringement or alleged infringement of third-party rights.

FrameGrade may suspend or terminate access, disable links, remove content, or refuse processing for violations of these Terms, misuse of the service, prohibited content, security risk, provider risk, legal risk, nonpayment, chargebacks, or operational harm.

You may stop using FrameGrade or cancel according to the billing settings, Stripe portal, checkout terms, order form, or applicable written agreement. Some provisions of these Terms will survive termination, including payment obligations, content responsibility, disclaimers, limitation of liability, indemnity, and governing law.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

To the extent a venue is required for a dispute that cannot be resolved informally and is not subject to a separate written agreement, the parties agree to a Tennessee-based venue where permitted by law.

FrameGrade may update these Terms from time to time. When we do, we will update the Last updated date on this page. Material changes may also be communicated through the product, email, or another reasonable method.

Your continued use of FrameGrade after updated Terms become effective means you accept the updated Terms.
